Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the STRAVEX platform. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"STRAVEX", the "Service" or the "Platform" means the software platform available at stravex.io and app.stravex.io, operated by DYNC Solutions SRL ("DYNC", "we", "us").

"User", "you" or "your" means the natural person of legal age who creates an account and subscribes to the Platform.

"Content" means all data, analytics, scores, verdicts, levels, visualizations, and other output made available through the Service.

2. Nature of the Service

STRAVEX is decision intelligence and market microstructure analysis software. The Platform aggregates observable market data and applies proprietary, rules-based analytical models to produce impersonal analytics that are identical for all users. The Content is not tailored to, and does not take into account, the investment objectives, financial situation, risk tolerance, or particular needs of any individual user.

STRAVEX is NOT: a registered investment adviser (RIA), a broker-dealer, or a fiduciary to any user. STRAVEX does not provide personalized investment advice or recommendations, does not take custody of funds or securities, and does not execute, route, or transmit orders. All trading and investment decisions are made solely by you, at your own risk and on your own judgment.

The Service is provided for informational and educational purposes only. Nothing in the Service constitutes investment, financial, tax, or legal advice, or an offer, solicitation, or recommendation to buy or sell any security or financial instrument.

3. Eligibility

You must be at least 18 years of age.
Your use of the Service, and any trading activity you undertake, must be lawful in your jurisdiction of residence.
You must not be subject to sanctions administered by OFAC, the United Nations, the European Union, or any equivalent authority.
You must provide accurate and current registration information.

4. Subscription, Billing and Cancellation

4.1 Fees

Access to the Service is provided on a subscription basis at the pricing agreed at subscription. Fees, billing frequency, and any promotional terms are those presented to you at the time you subscribe or as subsequently agreed in writing.

4.2 Payment processing

Payments are processed by a third-party payment processor (PCI DSS Level 1). DYNC does not store full payment card numbers. Subscriptions renew automatically until cancelled.

4.3 Cancellation

You may cancel at any time from your account panel. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by applicable law, fees already paid are non-refundable.

4.4 Price changes

We will provide at least 30 days' notice by email before any change to your subscription price takes effect. If you do not accept the new price, you may cancel before your next billing date at no charge.

5. Acceptable Use

You agree NOT to:

Share credentials or resell access to the Platform (one account, one person).
Scrape, harvest, mass-download, or systematically extract Content from the Service.
Attack or attempt to circumvent the Service's infrastructure or feature gating, or exploit vulnerabilities.
Use the Platform in connection with unlawful activity, including market manipulation, money laundering, or sanctions evasion.
Reverse engineer, decompile, or attempt to derive the Platform's source code, scoring models, or proprietary algorithms.

DYNC may suspend or terminate accounts that violate these Terms, without refund.

6. Data Use, License and Restrictions

The Content you receive through the Service consists of derived analytics — proprietary aggregations, scores, and transformations produced by STRAVEX's own models over market data licensed from institutional-grade third-party providers under commercial license.

Subject to these Terms, DYNC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your own personal, internal use only. You may not redistribute, republish, resell, sublicense, broadcast, or otherwise make the Content available to any third party, in whole or in part, whether or not for compensation. All rights not expressly granted are reserved by DYNC and its licensors.

7. Intellectual Property

The Platform — including its source code, analytical models, scoring systems, user interface designs, trademarks, and all original content — is and remains the exclusive intellectual property of DYNC Solutions SRL. Nothing in these Terms transfers any ownership rights to you.

8. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT. DYNC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR ACCURATE.

DYNC MAKES NO GUARANTEE OF TRADING RESULTS OR INVESTMENT PERFORMANCE. Past performance of any analytic, model, or verdict is not indicative of future results. You assume full responsibility for all trading and investment decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DYNC, ITS OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DYNC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO DYNC FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Dispute Resolution — Binding Arbitration and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding individual arbitration before a single arbitrator, rather than in court. The arbitration shall be conducted on an individual basis under the rules of a recognized arbitration institution to be designated in accordance with the governing law referenced in Section 12.

Class action waiver: YOU AND DYNC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. Claims may be brought only in an individual capacity, and the arbitrator may not consolidate more than one person's claims.

Either party may seek relief in small claims court for disputes within its jurisdiction, and nothing in this Section prevents either party from seeking injunctive relief for infringement of intellectual property rights.

11. Termination and Data Retention

Either party may terminate the subscription with notice as described in Section 4. DYNC retains your account data (trades, journal entries, paper trading records) for 90 days after cancellation, after which it is permanently deleted unless retention is required by law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction — to be confirmed by counsel], without regard to its conflict-of-laws principles.

13. Changes to These Terms

DYNC may update these Terms with 30 days' notice by email for material changes. Minor changes (clarity, typographical corrections) may be made without notice. The current version is always published on this page with its "last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
